This webpage has been designed with the intentions of instructing corporate representatives on how to properly register their business with the Missouri Secretary of State. If you have navigated to the Secretary of State website, and you’re unsure as to how to go about completing the filing forms, be it online or through PDF, we’ve got you covered. Within this tutorial we have relayed a step by step guide that will get you smoothly from A to B and well on your way to expanding your business into this new state. Whether choosing the online route, or filing through the mail, applicants will be required to pay the filing fee associated with their entity type. All profit corporations (General, Professional and Stock Coop Corporations) will be asked to submit a $155 payment upon submission while non-profit entities need only supply $25. Also a certificate of existence will be asked during the filing process to prove legitimacy and legality in your jurisdiction of initial incorporation.

Before we begin, we suggest cross checking your corporate name with the online name database through performing a Business Entity Search. Furthermore, for those believing that their name may be at risk of being taken by another entity, a Name Reservation filing has been made available for $25. This hold will last for a period of 60 days (twice renewable) prior to registration.

How to File (Online)

Because of how similar the online filing process is for all foreign corporation types (Profit, Non-Profit, Stock Coop and Professional) we’ve combined them all into one registration guide.

Step 1- For all entity applications, you will need to first create an online account with the Secretary of State website then proceed to sign in on this website.

Step 2- When logged in, the first thing you’ll see is a table of options available to account holders. Click on the link that says Create a Business Entity to continue.

Step 3- The next page will have you choosing your entity type in the first drop down menu, then selecting the Foreign option in the second. Click BEGIN to proceed onto the application forms.

Step 4- The first form will simply ask that you supply the name as registered in your jurisdiction of initial incorporation.

Step 5- Next, supply the name that you plan on using for the duration of your term in Missouri.

Step 6- This is the juncture at which the general info which is required differs from corporation to corporation. Profit and professional corporation will be able to supply the following data:

  • Jurisdiction of initial organization
  • Date of incorporation
  • Duration of term in Missouri
  • Corporation’s purpose (mandatory for professional corporations)
  • Future effective date (if applicable)

Non-profit entities will be required to supply this information:

Stock coop corporations will be able to provide their principle address within the general information, therefore they will be able to skip step 7 of this tutorial. The information asked of them is as follows:

  • Address of principle office
  • Jurisdiction of initial organization
  • Date of incorporation
  • Duration of term in Missouri
  • Corporation’s purpose (mandatory for professional corporations)
  • Future effective date (if applicable)

Step 7- Here you will be able to supply the principle address in the state of initial incorporation.

Step 8- To designate your registered agent you can enter their name into the fields provided, click SEARCH REG. AGENT then choose from the generated list. Alternatively, filers may choose to click on I DO NOT WANT TO SEARCH and provide the information themselves (see window number three below).

Step 9- At this stage you will add all applicable officers by submitting their type, full name and full address before saving. Once all have been submitted, you can move onto the board of directors.

Step 10- The same information applied to the submission of the corporate officers can be administered at this step. Once all have been entered, you may proceed. This step will not apply to non-profit corporations.

Step 11- Here is where you will need to upload your certificate of existence. First choose the file from your documents then, once selected, you will be able to click Upload to attach it to the forms.

Step 12- The next page will be a review of all the data submitted in the articles. Be sure that everything is true and correct before checking the box which acknowledges that, to the best of your knowledge, it is. Proceed by clicking NEXT SIGNATURES.

Step 13- All that is required of you is to check the boxes besides each one of the officers names then do the same to the check box which acknowledges that all information submitted is true and correct. You can then continue onto the shopping cart.

Step 14- The shopping cart should look similar to the one shown below. Make sure that everything in the payment summary section is accurate before proceeding.

Step 15- The next page will display a payment method selector. Choose between credit card and e-check. As soon as you’ve made your selection, one of the two below windows will present itself.

For credit card payment, you will be asked to provide the following:

  • Card type
  • Credit card number
  • CVV
  • Expiration date
  • Name on card
  • Country of residence
  • Full address
  • Phone number

If you’ve decided to pay by electronic check, the following information will be asked of you:

  • Name as it appears on check
  • Account type
  • Address as it appears on check
  • City
  • State
  • Postal code
  • Check type
  • Bank routing number
  • Bank account number

Step 16- Review the terms and conditions before agreeing to them and continuing on to the submission of the filing fee. This will mark the completion of your filing of the online forms.

How to File a Profit Corporation (PDF)

Step 1- Begin by downloading the Application for Certificate of Authority for Foreign For-Profit Corporation. You can then submit the following information into the empty fields:

  • 1-Name of corporation and jurisdiction under whose laws it was organized
  • 2-Name to be used in Missouri
  • 3-Date of incorporation and period of duration
  • 4-Address of principle place of business
  • 5-Name and address of registered agent
  • 6-Specific purpose
  • 7-Officers and directors name and addresses
  • Name and address to return filed document
  • 8-Effective date
  • Signature, name and title of authorized officer as well as the date of signing

How to File a Non-Profit Corporation (PDF)

Step 1- First you will need to download the Application for Certificate of Authority of a Foreign Nonprofit Corporation. Next, provide the following information:

  • 1-Name of corporation and jurisdiction under whose laws it was organized
  • 2-Name to be used in Missouri
  • 3-Date of incorporation and period of duration
  • 4-Address of principle place of business
  • 5-Name and address of registered agent
  • 6-Officers and directors name and addresses
  • 7-Specific purpose

  • 8-Does corporation have members? (y/n)
  • 9-Whether public or mutual benefit

Tips

Renewal – It is required that all corporations file an annual report online to successfully renew with the Secretary of State and to remain in good standing. In order for this to be achieved, you will first have to create an online account with their business portal (tutorial found here). Once signed in, you can supply your charter number and go through the basic procedure of updating the state of any changes in the principle place of business, officers, directors or any information they’ve deemed necessary. A biennial report is also available but can only be filed on even years (e.g. 2014, 2016). Online filings of annual reports will cost $20 while $45 will be charged to those submitting the printed document through the mail to the below address. Biennial reports will cost filers $40 online and $90 through the mail.
