Welcome to the Start a Business guide to the formation of Missouri corporations. The Secretary of State has allowed for a quick and stress free filing of all Articles of Incorporation through their streamlined online portal.  For those who are interested in the paper filing method for incorporation, we’ve included the requisite PDFS right here on our website and we’ve detailed the information they demand. The price of incorporation is a little obscure in the State of Missouri, while non-profit corporations allow for the one time payment of a set fee ($25), for-profit entities (Close, Professional, Industrial and General Profit) will be given a price dependent on the amount of stock issued by the company. However, if the stock issued is valued at less than $30,000, the price will be set at $58. For more information regarding the filing fees, please see the Secretary of State fee schedule found here. It should be noted that only for-profit, non-profit and close corporations have been administered PDFs of their Articles of Incorporation. All other entity types will be required to file online.

Across the board, we highly recommend that you take a second to check the availability of your corporate name prior to filing by performing a Business Entity Search. Also, if you feel as though you would like some additional time in which to prepare for incorporation, and you’d like to place a hold on your given name, you may perform a $25 Name Reservation. This reservation will last for a total of 60 days.

How to File a Close, General and Professional Corporation (Online)

Step 1- To incorporate your new business, you will first need to sign into your online account with the Secretary of State on this website. In the case that you haven’t yet created your online account, we’ve provided an in depth tutorial to use at your convenience here.

Step 2- Once presented with your home page, select the Create a Business Entity option to proceed.

Step 3- In the first drop down menu, you will need to select the type of corporation you’d like to form. In the menu below that, choose the domestic option before clicking BEGIN to start filing in the online articles.

Step 4- The first form of the online articles will ask that you provide your business name to be used in Missouri. You will also be able to enter your name reservation number if applicable.

Step 5- There are two ways of securing your registered agent. On the first page you can enter in the name and search through the generated list by clicking SEARCH REG. AGENT. You may also choose to enter the name manually by clicking I DO NOT WANT TO SEARCH and supplying requisite data (shown in window 3).

Step 6- This is the article in which you will enter the number of shares and the par value of those shares. If the number or par value doesn’t exceed $30,000, you will be able to enter that by clicking the second option. However, if this is not the case, you will need to select the first option and supply the class, number and par value of the shares to be issued.

Step 7- Next provide the type, full name and address of each incorporator. Once all members have been added, you may continue to the next  step.

Step 8- This section will have you indicating the duration of your corporation, the corporate purpose, the number of directors (optional) and the future effective date (if applicable). If you are filing as a professional corporation, a Professional Certificate from the regulatory board will need to be attached at this juncture (instructions found here).

Step 9- This step applies only to close corporations as it gives an option to enter any additional statements if they so wish. Continue by clicking NEXT REVIEW FILING.

Step 10- This page will have you reviewing all information submitted into the articles before continuing to the signing of the document. When you’ve been assured that everything is accurate and correct, you will be able to check the box that indicates that this is indeed the case and continue.

Step 11- To sign, simply check off the box next to the name then do the same to the two check boxes indicating that you understand the consequences of submitting a false document and that you are authorized to complete this registration.

Step 12- The shopping cart should look similar to the one shown below. Make sure that everything in the payment summary section is accurate before proceeding.

Step 13- The next page will display a payment method selector. Choose between credit card and e-check. As soon as you’ve made your selection, one of the two below windows will present itself.

Step 14- Review the terms and conditions before agreeing to them and continuing on to the submission of the filing fee. This step will mark the completion of your filing of the online articles of incorporation.

How to File a Non-Profit Corporation (Online)

Step 1- Those looking to form a non-profit entity online will still need to create an account with the Secretary of State website; a tutorial for this can be found here. Once you’ve completed the account creation process navigate to this website and supply your login credentials.

Step 2- Once you’ve located your home page, click on the Create Non-Profit Corp. link found under the Nonprofit Filings window.

Step 3- The first drop down menu should be automatically set to Non-Profit but you will need to select the Domestic option from the second menu before continuing.

Step 4- The first page will ask that you supply your reservation number (if applicable) followed by the name of your non-profit to be used in Missouri. Click NEXT REG. AGENT to continue.

Step 5- There are two ways of securing your registered agent. On the first page you can enter in the name and search through the generated list by clicking SEARCH REG. Step 6- In the category Duration/Purpose you will be able to provide the duration, purpose, number of directors, future effect date (if applicable), whether the corporation will have members, the nature of the public benefit as well as the asset distribution upon dissolution.

Step 7- Here you must add your incorporators. Provide the type, their full name as well as their full address before saving them. When all have been submitted, you will be able to proceed to the article summary section.

Step 8- Here you will be able to review all the information submitted before continuing on the the signature section. Check the box that dictates that the information is accurate and correct to proceed.

Step 9- All that will be required is to check off the boxes presented to you to select the incorporator and affirm that the facts stated within the articles are true and correct. Proceed to the shopping cart when this has been completed.

How to File an Industrial Development Corporation (Online)

Step 1- Those looking to form an industrial development corporation online will still need to create an account with the Secretary of State website like any other entity.  A tutorial for this can be found here. Once you’ve completed the account creation process navigate to this website and supply your login credentials.

Step 3- In the first drop down menu, select the industrial development corp option and in the second indicate that you are indeed forming a domestic entity. Click BEGIN to continue.

Step 4- The information required will actually be submitted by PDF. Choose the file through the link provided then click Upload to attach it to the form.

Step 5- Here you will be able to review the filing and continue on to the payment once you’ve indicated that you acknowledge that the information provided is true and correct.

How to File a Profit/Professional Corporation (PDF)

Step 1- Begin by downloading the Articles of Incorporation specific to profit and professional corporations. You will need to open it in your PDF viewer in order to submit the following information:

  • 1- Name of corporation
  • 2- Registered agent name and street address
  • 3.1- Check if shares do not exceed $30,000
  • 3.2- Indicate the number of shares and par value of each class if shares exceed $30,000
  • 4- Name and address of each incorporator
  • Name and address to return filed document
  • 5- Duration of term
  • 6- Purpose of formation
  • 7- Number of directors (optional)
  • Effective date (if applicable)
  • Signatures and printed name of incorporators as well as the date of signing

Step 2- Attach to the forms a check made out to the Secretary of State covering the total of the filing fee. If your number of shares is less than 30 000 and the cost of those shares does not exceed $30,000, you will be required to pay $58. Otherwise, review the fee schedule to find out how much your articles will cost. Send both the form and the fee to the below address to complete the filing. If you are filing as a professional corporation, you will need to attach a Certificate of State Board Registration to your filing as well (more on this below).

How to File a Close Corporation (PDF)

Step 1- Download the Articles of Incorporation for a close corporation and open the document in your PDF viewer. You will need to then submit the following data into the supplied fields:

  • 1- Name of corporation
  • 2- Registered agent name and street address
  • 3.1- Check if shares do not exceed $30,000
  • 3.2- Indicate the number of shares and par value of each class if shares exceed $30,000
  • 4- Name and address of each incorporator
  • Name and address to return filed document
  • 5- Duration of term

How to File a Certificate of State Board Registration (PDF)

Step 1- Download the Certificate of State Board Registration to register your professional corporation correctly. You will need to supply the following information first:

  • Professional license number
  • Corporation name
  • Name of profession
  • Name of board
  • Name of each incorporator as well as their licence/registration number, date licensed or registered and the address
  • Signature, title and name of state board as well as the date of signing
  • Name and address to return filed document

Step 2- When filing for formation, attach this document to the Articles of Incorporation upon submission.

How to File a Non-Profit Corporation (PDF)

Step 1- You will first need to download the Articles of Incorporation of a non-profit corporation and submit the following information into its fields:

  • 1- Name of corporation
  • 2- Whether public or mutual benefit
  • 3- Duration of period
  • 4- Registered agent name and address
  • 5- Name and address of each incorporator
  • 6- Will corporation have members? (y/n)
  • 7- The distribution of assets upon dissolution
  • 8- Purpose of formation
  • 9- Effective date (if applicable)
  • Name and address to return filed document
  • Signature, printed name and date by all incorporators

Step 2- Once this has been completed, printed, and signed by all incorporators, you can attach to it a check made out to the Secretary of State covering the $25 filing fee. Send both the articles as well as the filing fee to the below address to complete the filing.

Tips

EIN – Now that you’ve successfully filed with the Secretary of State and you’ve received correspondence indicating that your articles have been accepted, you will be able to apply for an Employer Identification Number. This EIN will allow you to hire employees, open bank accounts and apply for loans as a corporation. Furthermore, you will be seen as legitimate and legal in the eyes of the federal government. This number is issued by the IRS and will not cost any additional fee. We have incorporated both Online and the Form SS-4 application processes here on our website for those in need of further instructions.

Corporate Bylaws– We here at Start a Business always like to remind new incorporators of the many benefits of drafting a set of corporate bylaws, through which you can manage the internal affairs of your business. While not legally required in Missouri, this document will often serve as the only legal proof of your corporation’s rules and regulations under which the members of the entity must operate. For more information, and for a free template in MS Word or PDF format, follow the link found at the beginning of this paragraph.

Renewal – Corporations are the only business entity required to renew each year through the submission of an annual report. A biennial report can also be submitted by the managing members of your entity however they will need to be submitted on “even” years (e.g. 2014, 2016). An online account will be required to successfully renew each year. Once logged in, you will be able to submit your charter number before supplying all the general information pertaining to the officers, directors and registered agent of your corporation in order to successfully update the Secretary of State. Online filings of annual reports will cost $20 while those submitting the printed document through the mail (address below) will be required to pay $40.
