If you’re looking to extend your standard or professional foreign LLC into Minnesota you are in luck as the procedure is very much uncomplicated. The filings, which can be completed online ($205), in person ($205), or through the mail ($185), take only a few minutes each to complete. Online filers will be required to set up an account with the Business and Lien System online portal, a simple procedure which we have explained here. Please scroll down or select the proper link to the right for your foreign LLC type to get started.

Before filing, it would be wise to use the Business Entity Search function found on the Secretary of State website to ensure that your LLC name hasn’t already been taken in Minnesota. Once you’ve been assured that this is the case, or if you have chosen an alternative, you may reserve it for a period of 12 months by filing for a Name Reservation.

How to File a Standard or Professional LLC (Online)

Standard and professional LLC filings, when made online, are identical save for one section where, if an individual has indicated he wishes to form a professional LLC, he will have to indicate the nature of the professional service to be rendered.

Step 1 – To begin the filing process, login to your Business and Lien System account. If you have not created an account yet you may do so quickly with the help of our brief tutorial on the subject.


Once logged in you will need to navigate to the homepage in order to select your filing type. Select Limited Liability Company (Foreign) from the listed filings to continue.


Step 2 – You must now indicate whether or not your LLC is professional. Make your selection and select Next to continue.


Step 3 – You have now arrived at the data-entry portion of the filing. To begin, enter the name of your LLC’s registered agent(s).


Step 4 – You must now enter your registered office address for your place of business in Minnesota. Once complete, select Next to continue.


Step 5 – Input your principle place of business and select Next.


Step 6 – Add the address of the office you operate out of in your initial jurisdiction at this point. Select Next when finished.


Step 6a – Individuals who indicated they would be forming a professional LLC must now indicate the nature of the professional service to be rendered.


Step 7 – Enter the legal name for your LLC in your home jurisdiction here. Select Next when finished.


Step 8 – Indicate the location of your initial jurisdiction to complete this portion of the filing.


Step 9 – If you wish to add any extra documents to your filing you may do so by selecting Upload File and finding the file on your computer’s hard drive. Once complete, select Next to continue.


Step 10 – Add the address by which you would like to receive official communications from the Secretary of State.


Step 11 – You may now, should you choose to do so, add the reference information for a given client if it would be beneficial to your filing / record keeping.


Step 12 – If you would like to add an email address for official communications you may do so at this point. Select Next when you are finished to review your filing thus far.


If you are content with your filing select Submit to finalize.


Finally, e-sign the document and select Submit to complete the filing.


Step 13 – Select Continue to US Bank to make your payment for your filing.


Step 13 – If you have a US Bank account you may login at this point. If not, select Pay Without Registering to continue.


Step 14 – Input the following information and select Continue to complete your payment:

  • Full name
  • Address
  • Phone number
  • Email address
  • Card number
  • Expiration date
  • Card security code
  • Billing address (if different)


How to File a Standard LLC (PDF)

Step 1 – Filing for a standard LLC in person or through the mail is incredibly easy. Simply fill out the Certificate of Authority to Transact Business PDF with the following information:

  • Name of LLC in home jurisdiction
  • Alternate name for Minnesota, if different
  • Home jurisdiction
  • Registered office address
  • Resident agent name
  • Principle business address
  • Home address of initial jurisdiction office
  • E-signature and date
  • Email address for official notices
  • Name/phone number of filer

Step 2 – All that is left to do is to print the PDF and, along with a check with the proper amount ($185 for mail, $205 for in person) made out to the Secretary of State, send or deliver it to the following address:

Renewal – Annual renewals, necessary for remaining in good standing, can be filed online ($45) via the Business and Lien System or through the mail ($25) / in person($45) by completing the LLC Annual Renewal PDF form and submitting it on paper. Individuals filing by mail or in person must attach a check to their filing made out to the Secretary of State and deliver it to the following address:
