Forming an LLC domestically in Minnesota is not a complicated affair. To form you will only need a bit of time, regardless of which LLC type or filing method you opt for, and the funds available to pay the requisite fees. For domestic filings the following LLC types are available:

Each of these types, if filed online or in person, will require the payment of a $155 fee. Filings made through the mail will be slightly more affordable at $135. All online filings will needs be made through the Business and Lien System online portal which requires the creation of an account. Prior to filing, it would be wise to perform a Business Entity Search to ensure that your chosen operating name is indeed available for use. Furthermore, you may reserve your entity name for an entire year if you need additional time with which to prepare for formation.

How to Form a Standard, Non-Profit, or Professional LLC (Online)

The online filing process for standard, non-profit, and professional LLCs is identical, save two specific junctures. At the outset of the process you will be asked to indicate if your LLC is for profit or non-profit, and likewise whether or not it intends to provide a professional service. Beyond these initial distinctions, and one section (for professional LLCs only) asking for the LLC to indicate which professional service is to be offered, the process is identical.

Step 1 – To begin, login to your Business and Lien System account. If you have not created an account yet you may do so quickly with the help of our brief tutorial on the subject.

Once logged in you will need to navigate to the homepage in order to select your filing type. Select Limited Liability Company (Domestic) from the listed filings to continue.

Step 2 – As mentioned above, you will now indicate which type of LLC you intend to form: non-profit, professional, standard, or non-profit professional. Achieve this end by indicating your preferences in the provided fields.

Step 3 – You must now verify the availability of your desired name. To do so, input the proposed business name into the provided field, select your business designation, and click Search. Once your name is confirmed you will be able to continue with the filing.

Step 4 – You have now arrived at the data-entry portion of the filing. To begin, input the name and address of the organizer(s) of your LLC. Select Next once complete.

Step 6 – To complete this section please input the address of your registered office and select Next.

Step 7 – You must now provide a mailing address if you are unable to receive mail at your registered office. Once complete, select Next.

Step 7a – If you indicated that your LLC would be professional at the outset of the filing you will, at this point, be asked to indicate the nature of the professional service you intend to provide. Make you selection from the list and select nNext to continue.

Step 8 – If you would like to attach any extra forms for the sake of your filing you may do so at this point by selecting Upload file and finding the file within your computer’s hard drive. Select Next to continue.

Step 9 – Provide the delivery information for the filer at this point. If no information is submitted the documents will be sent electronically.

Step 10 – If it would be beneficial to your filing you may add client reference information at this juncture.

Step 11 – Add an email address for official notices (optional). Select Next to review the information you have entered thus far.

You must e-sign the document to complete the submission.

Step 12 – You will be presented with a confirmation of your filing. Select Continue to US Bank to make your payment.

Step 13 – If you have a US Bank account you may login at this point. If not, select Pay Without Registering to continue.

How to Form a Standard LLC (PDF)

Step 1 – To file a standard LLC through the mail or in person you will need to download the Articles of Organization PDF and complete it to the best of your ability. To complete the form you will need to enter the following information:

  • Name of LLC
  • Registered office address

  • Email address for official notices
  • Name/phone number of filer

Tips

EIN – All domestic LLCs will, upon the confirmation of a given filing from the Secretary of State, need to acquire an EIN, or Employer Identification Number, from the IRS in order to begin conducting business. This number will identify your LLC to the IRS as a legally taxable entity and thus one that is cleared to conduct all financial maneuvers. To acquire an EIN you may file Online with the IRS or apply through the mail with the PDF Form SS-4. Operating Agreement–  An LLC operating agreement is a non-essential document (i.e. not legally required in Minnesota) that none-the-less will provide a great service to your LLC if drafted. The document, if created properly, will help your LLC to stay organized by laying out all the rules and regulations the members wish to abide by. Furthermore, it may help your LLC avoid litigation between members in the future by delineating specifically the capital interests and responsibilities of each member. Renewal – Annual renewals are standard in most states, and Minnesota is no exception. In order for an LLC to remain in good standing it must, once a year, file an annual renewal either online ($45) via the Business and Lien System or through the mail ($25) or in person ($45) with the use of the LLC Annual Renewal PDF form.
