The formation of a limited liability company does not require an operating agreement and you will therefore not be legally required to draft one in order to function in Michigan. That being said, this internal document is considered a vital component of the LLC’s organization. Through drafting an operating agreement, you will be able to relay the relationship between the company officials and the entity itself, putting in place a series of rules and regulations under which they will be required to operate. Check out our free template below, available in MS Word and Adobe PDF, and see if it wouldn’t help you in drafting an agreement of your own. Be sure that have an attorney review the completed document to ensure that it will serve the best interests of both the company and its managing members.
