In this state, the Department of Licensing and Regulatory Affairs manages all business filings and it is with this department that you will be registering your business. Due to the lack of an online filing function on the government website, filers will be limited to submitting their documentation in the mail, by fax or by email. We always recommend that, at this point, filers perform a Business Entity Search in order to ensure that their current operating name is indeed distinguishable from that of every other entity on file in Michigan. If this is not the case, foreign entities will be required to operate with the use of an assumed name. If you’d like to reserve your entity name for a period of six months, you will be required to submit the name reservation application along with a $25 filing fee.
How to File
Step 1- When you’re ready to file, download the Application for Certificate of Authority in PDF format.
Step 2- The application will demand the following information of all filers:
- Name and address of individual to receive returned document
- 1- Name of LLC
- 2- Assumed name of the LLC to be used for duration of term in Michigan (if original name is unavailable)
- 3- Jurisdiction of initial formation, date of organization, duration of LLC if not perpetual
- 4- Address of office required to be maintained in jurisdiction of organization, or the principle office of the LLC
- 5- Name and address of registered agent
- 6- Name and address of individual to whom the administrator is to send copies of any process served on the administrator
- 7- Specific business to be transacted in Michigan
- Date of signing
- Name and signature of authorized representative
- Name of preparer and their business phone number
Step 3- When the form has been completed and double checked for accuracy, you will be able to print it off and supply the authorized signature. If filing in the mail, attach to the form a check or money order made out to the State of Virginia covering the $50 filing fee and send both the form and the fee to the below address. Those opting to file by fax (517-241-0538) or by email ([email protected]) will be able to do so through their MICH-ELF accounts.

Renewal– It is absolutely mandatory that LLCs file an annual report or annual statement each year to remain in good standing with the Department of Licensing and Regulatory Affairs. This process of renewal is a standard process that is carried out in many states and is used to allow the state government to stay up to date on any major structural changes in the LLC. In Michigan, the cost of renewal is $25 for standard LLCs and $75 for professional entities. The fee and the form can be submitted online using the FILEOnline system programmed into the government website (linked at the heading of this paragraph).
