Before filing your limited partnership, general partnership, limited liability partnership or sole proprietorship with the Secretary of State, you will need to draft a partnership agreement (template found below). This document will serve as an internal set of bylaws which underlines the relationship between partners, and between partners and the partnership. In its contents you will find the opportunity to first relay the general nature and purpose of your partnership. Following this first page, you will be able to continue by supplying the required information on the capitalization of each general partner, the allocations and distributions of income, the management of the partnership and more. It is recommended that all managing partners agree to the terms relayed in the partnership agreement and that they each sign at the bottom of the document to prove their compliance. Fee free to take advantage of our free template linked below in both Adobe PDF and Microsoft Word formatting.
