Welcome to partnership registration guide for the state of Kansas. Regardless of the classification of your business, you will need to complete all the necessary paperwork and pay the respective filing fees (listed below) before you will be given authority to operate within the State. We recommend familiarizing yourself with the various laws surrounding the formation of your company by reviewing the Uniform Limited Partnership Act in the State statutes. Unfortunately, the majority of the filing processes must be done through the downloading of a PDF and mailing the forms into the office of the Secretary of State. The one exception to this rule is in the case of a domestic limited partnership registration, for which filers will enjoy the opportunity to complete the filing using the Kansas Business Center’s online portal.

Before submitting your application, we recommend that both foreign and domestic filers take the time to conduct a Business Entity Search of the Secretary of States online name database to ensure that their chosen name hasn’t already been registered by another company. In Kansas, it is required that your name be completely distinguishable from all other entities. You may also wish to perform a Name Reservation to put a hold on your designation for a period of 120 days prior to filing.

How to File a Domestic LP (Online)

Step 1- It is necessary that all online filers to sign up for an account with the Kansas Business Center. If you’re experiencing difficulty in creating an account, we’ve supplied a brief tutorial on the process here. Providing that you’ve already logged onto your account, you can continue on to this webpage. Click on the option to file for a limited partnership.

ks-domestic-llc-Step 2- You will be able to enter in the name that you’ve reserved in one of the two windows on the right. If you haven’t reserved your name, simply supply it into the field of the far left column. On a secondary page they will inform you of it’s availability.

Step 3- Next, you will need to select the registered agent type  and on the secondary page enter the business name.

Step 4- Choose whether you wish to have the mail delivered to the registered office you’ve just submitted or an alternative address. In the case of the latter, you will be required to provide that address on the subsequent page.

Step 5- Indicate the latest date upon which the LP is to dissolve.

Step 6- At this juncture, you will be able to submit the partner’s names and addresses. Select the partnership type on the first page, enter their information on the second and when you’ve completed those two functions for all partners, verify the information on the third page.

Step 9- Click Continue to Checkout to complete the filing by paying the $165 filing fee via credit card.

Step 1- Begin by downloading either the Certificate for Kansas Limited Partnership.

Step 2- Domestic filers will be required to enter the following information into the empty fields of their application:

  • 1-Name of partnership
  • 2-Name and address of registered agent
  • 3-Mailing address
  • 4-Tax closing month
  • 5-Name and Address of each general partner
  • 6-Duration of partnership
  • 7-Effective date
  • 8-Date and signature of each general partner

Step 3- Once the form has been completed in its entirety, you will be required to attach to it a check or money order made out to the Secretary of State covering the $165 filing fee. Send both the form and the fee to the below address for processing.

How to File a Foreign LP (PDF)

Step 1- Begin by downloading the Foreign Limited Partnership Application.

Step 2- Foreign partnerships will need to submit the following data:

  • 1-Name of partnership
  • 2-State/Country of organization
  • 3-Date of original organization
  • 4-Date in which the partner began doing business
  • 5-Name of registered agent and their address
  • 6-Mailing address
  • 7-Tax closing month
  • 8-Full nature of business to be transacted in Kansas
  • 9-Name and address of each general partner
  • 11-Effective date
  • 12-Signature of one general partner and the date of filing

Step 3- Send both the form and the fee to the below address once the document has been completed. The fee will amount to $165 and can be paid by check made out to the Secretary of State.  You will also be required to attach a certificate of good standing or similar document at this point.

How to File a GP

Step 1- Begin by downloading the General Partnership Statement of Partnership Authority.

Step 2- Once open in your PDF viewer, provide the following information.

  • 1-Name of partnership
  • 2-Principle office address
  • 3-Mailing address
  • 4-Address of partnership office in Kansas (if applicable)

  • 6- Name(s) of partner(s) authorized to execute an instrument transferring real property held in the name of the partnership
  • 7- The authority, or limitations on authority, of some or all partners (optional)

Step 2- You will need to then supply the below information:

  • 2-Name and address of registered agent

Tips

EIN– The Employer Identification Number of your company will serve as the corporate equivalent of a Social Security Number. It will be required when opening bank accounts, applying for loans, renewing business licenses and performing any other type of financial transaction. Newly formed partnerships should immediately apply for an EIN following their filing with the Secretary of State. This can be accomplished for free Online or through the PDF Form SS-4 .

Partnership Agreement– This document will serve as a rulebook for your company. It will establish the various managerial responsibilities and rights, the capital contribution of each partner, the number of meetings held each year and any other provision you’d like to add pertaining to the government of your business. This is not a legally required agreement, and will not need to be filed with the Secretary of State. However, it is highly recommended that our template be downloaded, filled and filed by each partner for their own personal reference.

Renewal– All businesses in the state of Kansas are required to renew each year through the filing of their annual report. This action will require a filing fee, the price of which varies depending on the entity type. The purpose of this report is to inform the Secretary of State’s office of any changes which may have occurred over the previous year.
