This webpage has been designed to give individuals looking to register a foreign LLC in Kansas the instructions they need. Unfortunately, an online filing function has not been made available for foreign entities of any kind in this State and it will therefore be necessary for filers to submit the filing forms through the mail. The paper filing process can be summarized as follows: download the PDF of the application, fill it out in it’s entirety and mail it along with the filing fee of $165 to the Secretary of State for processing. All of this must be completed while complying the the statutes found in 17-76,121 of the Kansas Legislature.
Note- Be sure to attach a certificate of good standing from the state/country of your original formation to your filing forms. This certificate must be signed and authorized by a Secretary of State or similar government agent in order to be deemed valid.

Step 1- An essential maneuver recommended of you prior to filing is a Business Entity Search which is used to verify that your company name hasn’t already been registered by another business entity. If this is the case, you will be required to function under a fictitious, or alternative, name for the duration of your term in Kansas. If you’d like to reserve your name before filing for 120 days you can do so by filing the correct forms and paying the fee of $30.
Step 2- Now that your confident that your name is functional, you can continue by downloading the PDF of the Foreign LLC Application and enter the following info into it’s contents:
- 1-Name of LLC
- 2-State or Country of organization
- 3-Date of organization in home state
- 4-Date of commencement of business in Kansas
- 5-Name and address of registered agent in Kansas
- 6-Mailing Address
- 7-Tax closing month
- 8-Full nature and character of business to be transacted in Kansas
- 9-Name and address of managers/members
- 11- Signature of manager or member and the date
Step 3- With the forms completed, the filing fee of $165 can be paid by check or money order, addressed to the Secretary of State. Attach this payment to the application and mail both items to the below address to await correspondence.

Renewal– In order to remain in good standing with the office of the Secretary of State of Kansas, you will need to update them each year with your annual report. This filing will need to be accompanied by the fee of $55 if filing in paper form or $50 if filing online. If the managers of your company fail to file on time, your business will loose the status of “active and in good standing” and will eventually risk dissolution.
