In this tutorial we will walk prospective business owners and foreign partnership representatives through both the online and paper registration processes for all partnership types available in the state of Indiana. The Indiana Secretary of State website has provided a streamlined and user friendly platform which minimizes the time spent registering your business to just a few minutes. We highly recommend that you utilize this convenient option as it will serve as the quickest way to submit your information to the proper authorities. The filing fees for each partnership type have been listed below.

  • Domestic Limited Partnership- $100 (Paper) – $95 (Online)
  • Domestic Limited Liability Partnership- $100 (Paper) – $95 (Online)
  • Foreign Limited Partnership- $125 (Paper) – $105 (Online)
  • Foreign Limited Liability Partnership- $125 (Paper) – $105 (Online)

Before beginning the step-by-step guide, we usually advise applicants to perform a Business Entity Search to check the availability of their partnership name. As this feature has been added to the online registration process already, this check would be redundant for filers electing to use that application method. How to File a Domestic Partnership (Online)

Step 1- Filers electing to use the online filing portal will be required to first create an account with the Secretary of State (tutorial on this process here). Once created, navigate to this website and sign in with your account.

Step 2- On the left side of your screen you will see a series of tabs to choose from. Select the Online Services link to continue.

Step 3- Out of the available options, choose Secretary of State Business Service Division followed by Indiana Business.

Step 4- Simply click Business Formation to proceed to the next portion of the application procedure.

Step 5- Continue by selecting the type of partnership that you would like to create. Once selected, click Continue to proceed.

Step 6- If you have previously reserved a name for your business you can indicate this by selecting Yes. If not, enter the proposed business name into the entry field and click Check Availability. Assuming that the name is available you can click Next to proceed.

Step 7- Here you will need to enter some general business details. Begin by supplying the partnership’s email address followed by the period of existence, the effective date of formation and the principal office address. LLPs will be required to provide a statement of purpose. When everything has been entered correctly you can continue by clicking Next.

Step 8- If an individual is representing your business as the registered agent then you will need to manually enter that person’s name and address. If a business is representing the partnership as the registered agent then simply search for the business and select it from the generated list.

Step 9- Here you will need to provide the name and address of each principal individual. Enter that information into the provided fields and click Add Principal. Repeat this process until each principal individual has been provided.

Step 10- You may now add any additional articles that you would like to include with your application. Click Next when you are ready to proceed.

Step 11- This page will provide you with a review of all the information submitted so far. Verify the data for accuracy and click Next to proceed.

Step 14- Use the drop-down menu to select your method of payment for the filing fee (credit card, debit card or E-check) and enter your payment information into the provided entry fields. Clicking Continue will take you to the final stage of the application process where you can officially submit your filings.

How to File a Foreign Partnership (Online)

Step 1- Online filers must first create an account with the Secretary of State. Review our tutorial on this process if you have yet to create an account. Once created, navigate to this webpage and sign in.

How to File a Domestic LP (PDF)

Step 1- The paper filing for the creation of a new partnership can be done right here at Start a Business without the hassle of navigating to the Secretary of State website. Begin by downloading the PDF of the Certificate of Limited Partnership.

Step 2- You may continue by supplying the following information into the empty fields:

  • Article I- Name of partnership and principle address
  • Article II- Name and address of registered agent as well as their consent (indicated by checked box)
  • Article III- Name and address of each general partner
  • Article IV- Partnership agreement (optional)
  • Article V- The latest date on which the partnership is to dissolve
  • Date, signature, printed name

How to File a Domestic LLP (PDF)

Step 1- On our site we’ve provided all the forms necessary for the successful filing of an LLP. First you will need to download the Articles of Registration Domestic Limited Liability Partnership.

Step 2- You will be able to supply what little information they ask of general partners to complete the filing. This information will include the following:

  • Article I- Name and address of LLP
  • Article II- Name and address of registered agent as well as their consent (indicated by checked box)

Step 1- A foreign limited liability partnership can be filed in the mail using the Application for Registration Foreign Limited Liability Partnership form.

Step 2- You will be able to complete the paperwork by supplying the following data into the prescribed fields:

EIN– Once you’ve finished registering your business and you’ve received correspondence guaranteeing authority to transact business in Indiana, you will need to apply for an Employer Identification Number for your new business. This identifier allows the IRS to recognize you as a legitimate, tax-paying entity and will in turn enable you to undergo any number of financial transactions. Employers failing to apply for such an identifier will find themselves extremely limited in their ability to effectively operate within the confines of the law. You can apply for this number either through the Online application or the filing of Form SS-4.

Partnership Agreement– While this agreement is not legally required in the state of Indiana, many managing partners will find it useful in the organization of their partnership’s internal affairs. The initial organizers of the partnership will be able to relay the rules and regulations of the entity upon registration to avoid any confusion in the case of a future legal dispute. Renewal– The renewal of your partnership is a simple and straight forward procedure that requires just a few steps. Performing this action will allow you to remain in good standing with the Secretary of State while updating them with any changes which may have occurred over the previous 2 years.
