Those looking to register their limited liability company with the Indiana Secretary of State, as either a foreign or domestic entity, will find all the required information within this webpage. This tutorial is meant to serve only as a brief overview of the filing processes of each LLC variant in this state. To learn more about your particular entity type, please select either the domestic or the foreign LLC guides. Across the board, entities organized for business purposes will be required to pay a filing fee upon submission of their formation/registration documents (fees listed below).

  • Domestic Limited Liability Company- $100 (Paper) – $95 (Online)
  • Foreign Limited Liability Company- $125 (Paper) – $105 (Online)

How to File

Step 1- Those who’ve opted out of using the Secretary of State website to file, or who are filing as an out-of-state entity, would be wise to perform a preliminary search of the online name database to ensure that they’re chosen name is not already registered in Indiana. This process can be accomplished through the Business Entity Search function. Furthermore, foreign LLCs will particularly benefit from the use of a Name Reservation filing prior to submitting their application. To learn more visit our tutorial linked above.

Step 2- You will now be required to supply your business information. We recommend that you choose the online filing procedure as the application will be submitted instantaneously upon completion. All other filers will be required to fill out the paperwork using a PDF reader on their computer before printing it off and supplying their signature. Below we’ve detailed each of these processes in our more specified tutorials.

Step 3- At this point you must pay the filing fees associated with your entity type. For online filers this fee is payable by credit card, debit card of E-check. PDF applicants can pay by check or money order made payable to the Secretary of State. The payment of the filing fees will conclude the online applicant’s registration process.

Step 4- Paper filers can now make a copy of their original document and attach to it a certificate of existence issued by the Secretary of State or like authority in the jurisdiction of original organization (applicable only to foreign businesses). Send all paperwork and filing fees to the below address to be processed at the office of the Secretary of State.

Tips

EIN– This section is only applicable to those who are forming new companies within the state of Indiana. Following the completion of your registration documents, and after the Secretary of State has approved your articles of organization, you may be required to apply for an Employer Identification Number. This number will allow the IRS to recognize you as a legal and legitimate tax-paying entity. For the same reason this identifier will be essential when applying for credit cards and opening bank accounts. To learn more about the application process visit our Online application tutorial or that of Form SS-4.

Operating Agreement– While not legally obligatory in the state of Indiana, the operating agreement serves as legal evidence pertaining to the organization of a particular limited liability company. This document is to be drafted by the initial organizers of an LLC to determine the manner in which the business is to regulate its internal affairs. You will find more information about the practicality of such an agreement (as well as a free template in MS Word and Adobe PDF format) linked in the heading of this paragraph.

Renewal– The process of renewal is the same for both foreign and domestic entities. It involves submitting a biennial business entity report to the Secretary of State updating them with all the information they’ve deemed necessary. Clicking on the link above and to the left will take you to the online filing portal where you can submit your renewal (this process requires an account). Paper filers may download the PDF application here and send their completed document to the below address for processing.
