Welcome foreign corporate representatives! This brief and concise instructional guide is dedicated to getting your business registered with the Secretary of State and successfully on your way to conducting business within Indiana. A streamlined filing portal has been created in which filers can submit their applications online. We have also provided PDF files for individuals who would like to file through the mail. A fee will be required upon submission of your documents (fees listed below) which you can pay by check or money order for paper applications, credit card, debit card or E-check for online applications.

It would be wise to perform a preliminary check of the Secretary of State name database to cross check your name with pre-existing entities within the state of Indiana. If you don’t find any similar names, there’s a good chance that your application will be accepted. In the case that you need additional time before registration, a Name Reservation will allow you to reserve the rights to your name for a period of 120 days prior to filing.

How to File a Profit or Non-Profit Corporation (Online)

Step 1- To access the online filing portal you will need to create an account with the Secretary of State. Review our tutorial if you would like assistance on this procedure. Once created, navigate to this website where you can sign in.

Step 2- Select the Online Services tab located on the left hand side of your screen.

Step 3- From the list of available options, choose Secretary of State Business Service Division followed by Out-of-State Business.

Step 4- Next, choose the Business Formation link to proceed.

Step 5- In the Select Foreign Entity Type menu, select the type of corporation that you would like to create (profit or non-profit corporation).

Step 6- If you have reserved a name for your business, indicate this by selecting Yes. If not, enter the proposed business name into the entry field and click Check Availability. Assuming that the name is available you can click Next to proceed.

Step 7- This page will require you to supply a number of important business details. Begin by entering the corporation’s email address as well as the date and jurisdiction of initial formation. Non-profit corporations must then specify as to whether the business will be categorized as a public benefit, religious or mutual benefit corporation. Non-profits must also specify if the corporation will have members or not. Lastly, provide the indented duration of business, effective date of formation and provide the principal office address.

Step 8- Here you will need to provide the name and address of the registered agent. If an individual is acting as the registered agent then you will need to manually enter his/her details into the entry fields. If a business is acting as the agent, search for the business and select if from the generated list.

Step 9- You will now need to provide the name, address and business title of each incorporator. Enter those details into the provided fields and click Add Incorporator. Repeat this process until each individual has been added.

Step 10- This step is for profit corporations only. The name, address and business title of each principal individual must be provided. Enter that information and click Add Principal. Repeat this process until each principal individual has been provided.

Step 11- You may now add any additional articles that you would like to include with your application. Foreign entities will be required to supply a certificate of existence (or like document) from the initial jurisdiction of formation.

Step 12- This page will provide you with a review of all of the information submitted thus far. Check the data for accuracy before clicking Next to proceed.

Step 13- Check each of the boxes highlighted in red and enter your name to provide a virtual signature. Lastly, specify your business title before clicking Add to Payment Cart.

Step 14- The filing fee will be displayed on the following page. Profit corporation will be required to supply $105 while non-profits need only pay $40. Click Checkout to proceed.

Step 15- Indicate your method of payment by choosing one of the options from the drop-down menu (credit card, debit card or E-check) and enter your payment information into the provided fields. Click Continue to proceed to the final stage of the application process where you can officially submit your filings.

How to File a Profit Corporation (PDF)

Step 1- If you have been assured that your name is mostly likely unique to your corporation, you can continue by downloading the Application for Certificate of Authority.

Step 2- You will need to begin by entering the name of your corporation at the top followed by the type of corporation (general purpose or professional). The remainder of the information required on this PDF is as follows:

Step 3- At this point you can print off the application and provide your signature and name at the bottom. Attach a check or money order made payable to the Secretary of State to cover the $125 filing fee. You must at this point also attach a certificate of existence that’s been issued by the appropriate authorities within 60 days of this filing.

Step 4- Once all forms and fees have been collected and all the necessary paperwork has been signed, place all items in an envelope and send to the below address for processing by the Secretary of State.

How to File a Non-Profit Corporation

Step 1- Begin by downloading the Application for Certificate for Authority used by foreign non-profit entities.

Step 2- You can start the application by entering the corporate name at the top, then supply the following information into the PDF before printing it off:

Tips

Renewal– Renewal in the state of Indiana works in a similar fashion to most states. It involves submitting a business entity report to update the Secretary of State of any significant changes to the management, principle place of business and information of that nature. The difference with this state is that all entities falling into the category of “profit” need only make such an update biennially as opposed to annually. This rule is not applicable to non-profit businesses as the standard annual report is needed. The PDF application necessary for paper filing can be found here.
