Welcome foreign corporation representatives! This brief and concise instructional guide is dedicated to getting your business registered with the Secretary of State and successfully on your way to conducting business within Indiana. You should be warned that unlike domestic entities, foreign corporations will be required to submit their application for authority through the mail. This can be accomplished in just a few easy steps and will cost most entities a total of $90. The exception to this price is if you represent a non-profit corporation in which case you need only pay $30. Below we’ve included all data needed of profit as well as non-profit businesses along with a few extra tips you may find informative at the bottom of the page.

It would be wise to perform a preliminary check of the Secretary of State name database to cross check your name with pre-existing entities within the State of Indiana. If you don’t find any similar names, there’s a good chance that your application will be accepted. In the case that you need additional time before registration, a Name Reservation will allow you to reserve the rights to your name for a period of 120 days prior to file.

How to File a Profit Corporation (PDF)

Step 1- If you have been assured that your name is mostly likely unique to your corporation, you can continue by downloading the Application for Certificate of Authority. You will need to begin by entering the name of your corporation at the top followed by the type of corporation (general purpose or professional). The remainder of the information required on this PDF is as follows:

  • Article I- Name of corporation
  • Article II- Address of principle office
  • Article III-Name and address of registered agent as well as their consent (indicated by checked box)
  • Article IV- Date and state of initial incorporation and duration of existence

  • Article V- Name, title and address of each corporate officer
  • Article VI- Name and address of each director on the board of directors. Check box if corporation is not required to have a board of directors
  • Name of officer and/or chairman of the board

Make a photocopy to attach to the original and supply the $90 filing fee in the form of a check or money order made payable to the Secretary of State. You must at this point also attach a certificate of existence that’s been issued by the appropriate authorities within 60 days of this filing.

Step 3- Once all forms and fees have been collected and all the necessary paperwork has been signed, place all items in an envelope and send to the below address for processing by the Secretary of State.

How to File a Non-Profit Corporation (PDF)

Step 1- Begin by downloading the Application for Certificate for Authority used by foreign non-profit entities. You can start the application by entering the corporate name at the top, then supply the following information into the PDF before printing it off:

Tips

Corporate Bylaws– In the case that you don’t already operate with the help of a set of corporate bylaws, please take the time to review the free template offered here on our site (accessible through the link in this paragraph). In the State of Indiana it is not legally required for corporations to draft a document of this nature although we here at Start a Business highly recommend that you incorporate one into your business structure to delineate the nature of the relationship between employees/members of the corporation and the entity itself. Before having all members sign the agreement, we suggest having your attorney review its content to verify that all necessary provisions are included.

Renewal– Renewal in the State of Indiana works in similar fashion to most states. It involves submitting a business entity report to update the Secretary of State of any significant changes to the management, principle place of business and information of that nature. The difference with this State is that all entities falling into the category of “profit” need only make such an update biennially as opposed to annually. This rule is not applicable to non-profit businesses as the standard annual report is needed.
