There are many variants on the corporate structure available to those looking at forming a new business. Some business representatives will be able to file their Articles of Incorporation online using the IN.gov website. The alternative, which is available for all business entity types, is the submission of the registration documents through the mail. This process will require printing off the appropriate PDF (all of which can be found on our website) and sending two signed copies along with the filing fee to the Secretary of State office. The corporations available for registration in the state of Indiana and the accompanying filing fees are as follows:

We recommend reviewing our tutorial dedicated to the Business Entity Search function found on the Secretary of State website. This function will allow you to perform a preliminary check of the branch’s name database to ensure that your chosen name isn’t currently representing another registered entity. Online filers needn’t worry about this step as it has been incorporated into their registration process. Another filing that is often made prior to registration is a Name Reservation ($10 online). How to File a Profit Corporation (Online)

Step 1- To begin filing for a profit corporation (includes professional corporations), navigate to this website and sign into your online account. If you don’t have an account as of yet, we have provided a tutorial on this procedure.

Step 2- Select the Online Services tab of the left side of the screen to continue.

Step 3- Click on the Secretary of State Business Service Division link followed by Indiana Business.

Step 4- On this page you will simply need to select the Business Formation option out of the available choices.

Step 5- Select the type of corporation that you would like to create and click Continue to proceed.

Step 6- If you have reserved a business name, indicate this by selecting Yes. If not, enter the proposed name into the search bar and click Check Availability. If the name is available for use then proceed by clicking Next.

Step 7- This page will ask you to provide your business email address, the period of existence (if not perpetual), effective date of formation, principal office address and the amount of authorized shares. When all the information has been supplied you may proceed by clicking Next.

Step 8- Specify as to whether the registered agent is an individual or entity. You will then be able to manually provide the agent’s name and address before proceeding.

Step 9- On this page you will be required to provide the name and address of at least one incorporator. After the details have been provided click Add Incorporator and repeat this process until each incorporator has been added.

Step 10- This step is similar to the last in that you will have to provide the name and address of a principal individual. Once provided, click Add Principal and repeat this process until each individual has been added.

Step 11- At this point you may add additional articles (optional). Professional corporations will be required to supply a Certificate of Registration.

Step 12- You may now review all of the details supplied thus far. Verify the information for accuracy and click Next to proceed.

Step 13- Provide your virtual signature by entering your name into the entry field, specifying your business title and checking each box highlighted in red. Once this has been completed you may Add to Payment Cart.

Step 14- A review of the filing fee will be displayed on the following page ($95). Simply click Checkout to proceed.

Step 15- On this next page you will need to specify your method of payment by choosing one of the options from the drop-down menu. Finally, supply your payment information and click Continue to proceed to the final stage of this process and officially submit your application.

How to File a Non-Profit Corporation (Online)

Step 1- To begin the online filing process for a non-profit corporation you must navigate to this website. From there you can sign into your online account (click here to review our tutorial on account creation).

Step 2- On the left hand side of your screen you will see a number of selectable options. From the list, choose the Online Services link.

Step 6- You must now provide your business email address, specify the type of business being created and let the state know whether your corporation will have members or not. Next, you will need to manually enter a brief description of how your corporation will distribute assets upon dissolution. You may specify the period of duration (if not perpetual) as well as the effective date of formation. Lastly, provide the principal office address and the intended business purpose before clicking Continue.

Step 7- An entity or an individual may act as your registered. If an individual, you will need to manually enter the agent’s name and address. If an entity is acting as the registered agent then you may enter the name into the search bar, click Search and select the name from the generated list.

Step 8- The names and addresses of each incorporator must now be provided. Enter those details into the entry fields and click Add Incorporator to submit that information. Repeat this process until each incorporator has been described and click Next when you are ready to proceed.

Step 9- This step is similar to the last in that you will need to provide the name and address of each principal individual. Once this information has been entered click Add Principal to submit that data and repeat this process until each individual has been added.

Step 14- The last step in the filing process is to provide payment for the $30 filing fee. To do this you must first select your method of payment from the drop-down menu followed by entering-in your payment information. When you click Continue, you will be able to officially submit your application to the Secretary of State.

How to File a Profit Corporation (PDF)

Step 1- Profit corporations (as well as benefit and professional corporations ) will be required to file using the standard Articles of Incorporation PDF found here on our website.

Step 2- The information required by each corporation type is identical and can be entered as follows:

  • Check box indicating corporation type
  • Article I- Name of corporation and address of principle office
  • Article II- Name and address of registered agent as well as their consent (indicated by checked box)
  • Article III- Number of shares authorized to issue
  • Article IV- Name and full address of each initial incorporator
  • Date
  • Printed name and signature of each initial incorporator
  • Name and address of applicant

Step 3- Once you’ve successfully completed the articles, print off the form and have all the initial incorporators sign it. You must then make an additional copy and attach the filing fee ($100) payable by check or by money order made out to the Secretary of State. Mail all items to the office of the Secretary of State to finish your filing.

How to File a Non-Profit Corporation (PDF)

Step 1- Mutual benefit, religious and public benefits all qualify as non-profit entities and will be able to use the same Articles of Incorporation.

Step 2- Once the application has been downloaded, provide the following information into the empty fields:

EIN– The first step that most employers take after they’ve received the go-ahead from the Secretary of State is the application for an Employer Identification Number. With this number you will be able to hire employees, file for loans and otherwise perform any number of financial transactions using the company name. The IRS will also use this number to recognize you as a legal, tax-withholding entity in the eyes of the federal government. Some may find the application process complicated so we’ve incorporated a tutorial to walk you through it here. You may also apply directly Online or through the mail with the PDF Form SS-4.

Corporate Bylaws– Most corporations use a set of bylaws to govern the internal affairs of the business, including all provisions regarding the relationship of the members of the corporation to the corporation itself. A set of corporate bylaws isn’t a legally required addition to your business structure, however it comes highly recommended as it is the most efficient way of successfully organizing the inner workings of your business. You will find a free template for such a document linked in the heading of this paragraph along with a bit more information as to why you may wish to consider drafting one.

Renewal– The filing of a business entity report is what keeps corporations, both profit and non-profit, in good standing with the Secretary of State. We recommend that all businesses take advantage of the online filing process, though this will require the creation of an online account (tutorial on this process here). If you choose to commit to such a filing by submitting it in the mail, the below address can be used used for both corporation classifications.
