This webpage has been designed to provide a general overview of the various steps required by foreign and domestic corporate representatives in their pursuit to register their businesses with the Secretary of State. The office has provided a straight forward filing process for both the Articles of Incorporation and the Application for a Certificate of Authority with the option of filing online available for many corporation types. If filing by PDF you will need to send the completed documents in the mail to the office of the Secretary of State with the attached filing fee (fees listed below).

How to File

Step 1- Online filers will notice that their registration process includes a name availability search at the very beginning of the forms. For this reason you needn’t perform a preliminary name database search using the Business Entity Search function. PDF filers however are advised to complete this inquiry into the Secretary of State registry to ensure that the name they’ve chosen to operate under hasn’t already been registered by another entity. To reserve your name once you’ve successfully determined that it is unique, you may file for a Name Reservation online for the low price of $10.

Step 2- At this point you will need to submit the requisite filing information either online or by PDF. Select the link below which corresponds with your entity type of find out the exact filing requirements.

Step 3- Once you’ve completed your registration forms, either online or through your PDF viewer, you will be able to then pay the associated filing fees. This step can be accomplished online by credit card, debit card or E-check. If you’ve chosen this route, the payment of your fees will indicate the conclusion of the process. Paper filers will need to attach a check or money order equaling the total of their filing fee. This fee can be made payable to the Secretary of State.

Step 4- Foreign corporation will need to also supply a certificate of existence issued from the Secretary of State from their jurisdiction of initial incorporation. The document will have had to have been distributed within 60 days of your registration with the state of Indiana to be considered legitimate. You can then mail the original registration document, the certificate of existence (if applicable), and the filing fee to the below address to be processed by the Secretary of State. This step concludes the paper registration process.

Tips

EIN– This tip is applicable only for newly formed corporations as an EIN (Employer Identification Number) is something foreign entities are most likely already using. This number acts as the corporate equivalent of a Social Security Number and must be acquired following formation in order to legally hire employees and pay withholding taxes. The IRS issues the EIN to identify business entities of all varieties as legitimate and lawful. Corporate Bylaws– While not legally mandatory in the state of Indiana, we highly recommend that you take a look at the free template for this internal document found linked in this paragraph. This agreement drafted by the founding members of a corporation allows for the proper organization of bylaws and the delineation of the relationship between the members of the entity and the entity itself. When drafted, this document will include any provision not already mentioned in the initial articles that the incorporators deem necessary to clarify. Renewal– All corporations will be required to renew with the Secretary of State by supplying them with a business entity report. The online filing process is simple, straight forward, and requires filers to create an online account with the Secretary of State (tutorial on this process here). The same can be said for the PDF filers only you will most likely find a few additional steps required if you choose to take this renewal route.
