Applying to register a business in Illinois is a process which is fairly straight forward but unusually expensive in the case of limited liability companies. Whether your applying for a series or a standard LLC you will need to download an application for admission to transact business in PDF form as there is currently no online filing method for foreign entities. The filing fees are quite large at $500 for standard LLCs and $750 for series LLCs. The option to expedite your filing for a quicker processing time will have you paying an additional $100. It is important to note that all foreign entities must attach a certificate of good standing or similar document with their initial application.

It is recommended that business representatives perform a Business Entity Search prior to filing with the Secretary of State to ensure the availability of their operating name. A Name Reservation will further ensure your application’s acceptance as it will prevent other businesses from employing your name when registering their companies. How to File

Step 1- Begin by downloading the PDF of the Form LLC 45.5 (standard LLC) or the Form LLC 45.5(S) (series LLC) here on our website.

Step 2- When the download is complete, open it in your PDF reader and submit the following information:

Standard LLC

  • 1-LLC name
  • 2-Assumed (fictitious) name for use in Illinois
  • 3-Jurisdiction of organization
  • 4-Date of organization
  • 5-Period of duration
  • 6-Address of principle place of business
  • 7-Registered agent name and full address
  • 8-Date in which the company first transacted business in Illinois (if applicable)
  • 9-Purpose for which the company was organized as well as the purpose to conduct business in Illinois
  • 10a-Select the box and provide the names and addresses of each manager (if applicable)
  • 10b-Select the box and provide the names and addresses of each member (if applicable)
  • Date
  • Applicant signature
  • Name and title
  • Name of company if applicant is signing for a business entity

If you elected to apply as a SLLC, your registration forms will look very similar to that of a standard LLC. There will however be a provision signifying that the company has committed to the registration of a series limited liability and by signing the application you will agree to the terms provided in the provision. The remainder of the information involved will be as follows:

Series LLC

  • 1-LLC name
  • 2-Assumed (fictitious) name for use in Illinois

Step 3- Now that the requisite paperwork has been downloaded, completed, printed in duplicate and signed, you can proceed to the payment of the filing fee. As previously mentioned, the payment for a standard LLC will equal a total of $500 while series LLCs can expect a higher price still at $750. Attach the money order or check made out to the Secretary of State to cover the fee for your application.

Step 4- Before submitting your filing in the mail you will need to attach to it a certificate of good standing which has been filed in your original jurisdiction within 60 days of completing Form LLC 45.5. Place all items in an envelope and send them to the below address. Filers of series LLCs will be required to complete the Certificate of Designation after filing the initial articles.

How to File a Certificate of Designation

Step 1- This document is used to designate each series incorporated in your SLLC. Once your application to transact business has been approved, you will need to file this document to create each cell of your company. Begin by downloading the Form LLC-37.40.

Step 2- Enter the following information into the certificate:

  • 1-LLC name
  • 2-State or country in which LLC is organized
  • 3-Name of series
  • 4-The nature of this filing (choose the first option as this is the one which applies to this tutorial)
  • 5a-Select this option if applicable and add the names and addresses of all the managers below
  • 5b-Select this option if applicable and add the names and addresses of all the members below
  • Date
  • Signature
  • Name and title
  • Name of company if applicant is a business entity

IL-Certificate-of-Designation

Step 3- As with all forms, this one will need to be supplied in duplicate. Attach a check or money order covering the filing fee of $50, made payable to the Secretary of State.  You can then send all items the the address below to complete your filing.

Tips

Renewal– Both foreign and domestic limited liability companies have the opportunity to file their annual reports online using the Secretary of State website (cyberdriveillinois.com). There you will be able to update the Secretary of State with all the changes which have occurred over the course of the previous year. These reports are mandatory for all businesses in Illinois, the disregard of which will result in potential dissolution and certain financial penalty. As an alternative to the online filing system, a PDF download of the report can be employed instead.
