How to File a Business Corporation

Step 1- You can begin the registration procedure by downloading the Application for Authority to Transact Business in Illinois.

Step 2- Corporate representatives registering their business corporation will need to update the office of the Secretary of State with the following data:

  • 1a-Corporate name in state of initial organization
  • 1b-Assumed name if above name is unavailable
  • 2-State/country of incorporation, date of incorporation, period of duration
  • 3a-Address of principle office wherever located
  • 3b-Address of principle office in Illinois
  • 4-Registered agent’s name and address
  • 5-List of states/countries in which corporation is permitted to transact business (include state of initial incorporation)
  • 6-Names and addresses of officers and directors including president and secretary
  • 7-Purpose(s) for which corporation was organized which it plans to expand to Illinois
  • 8-Class, series, par value, number of shares authorized and number of shares issued of all authorized stock
  • 9-Amount of money or property paid to the corporation for issued shares
  • 10a-Estimated value of property to be owned by corporation wherever in following year
  • 10b-Estimated value of property to be owned by corporation in Illinois in following year
  • 10c-Estimated gross amount of business transacted by corporation in following year

Step 3- Once you have completed your application in duplicate, you will need to attach the certified copy of your initial articles and a check or money order made out to the Secretary of State to cover the filing fee. The payment of the filing fee will be a minimum of $175 despite the price listed on the publications/forms page on the Secretary of State website. This premium will vary depending on the corporations “paid in capital” and the amount of property and business to be conducted in Illinois. How to File a Not-for-Profit Corporation

Step 1- The for application for a not-for-profit corporation can be found in Form NFP 113.15. Download this form onto your hard drive and proceed to Step 2.

Step 2- You can now begin filling in the contents of this form on your computer. The Illinois Secretary of State asks that you provide the following information for your not-for-profit entity:

  • 1a-Corporate name in state of initial organization
  • 1b-Assumed name if above name is unavailable
  • 2-State/country of incorporation, date of incorporation, period of duration
  • 3a-Address of principle office wherever located
  • 3b-Address of principle office in Illinois

Tips

Renewal– The renewal of your corporation will be the result of you filing your annual report. This report will update the Secretary of State with all financial and logistical changes which have occurred over the previous year. You are not required to file this report immediately after applying. However, the effective date of your corporation will mark the deadline of the following year. Just like with the initial registration documents, foreign entities will be required to file their report in PDF form along with the $75 filing fee necessary for this corporation type.
