Limited partnerships, limited liability partnerships, limited liability limited partnerships and general partnerships can all be formed and operated in the state of Idaho in accordance with Title 53-Chapter 26, Title 30-Chapter 23 and Title 30-Chapter 24 of the Idaho State Statues. The registration for this entity type can be done through the completion of the proper paperwork, available in PDF, and the payment of the $100 filing fee. An additional $20 will be required if the filer declines to type the application or uses a form which is deemed non-standard by the office of the Secretary of State. Those wishing to expedite their filing can do so for another $20. All filings will need to be duplicated before being submitted to the state offices.

To verify whether the name you have chosen for your business is available, you can perform a Business Entity Search on the Secretary of State website. For the filing fee of $20, a name can be reserved for a period of 4 months.

How to File a Foreign Partnership

Step 1- All foreign partnerships will need to download the PDF file of the Foreign Registration Statement.

Step 2- Once downloaded, you will need to provide the following information:

  • 1-Name of partnership
  • 2-Name to use in Idaho
  • 3-Entity type
  • 4-Jurisdiction of formation
  • 5-Address of principle office
  • 6-Address of domestic principle office (if applicable)
  • 7-Mailing address (if different than #5)
  • 8-Name and address of registered agent in Idaho
  • 9-Name, capacity and address of at least one general partner
  • Signature, typed name and capacity of signatory

How to File a GP

Step 1- General partnerships are not required to formally file with the Secretary of State in Idaho, although they may do so if they wish by submitting a Statement of Partnership Authority.

Step 2- With the Statement of Partnership Authority downloaded, continue by supplying the following information:

  • 1-Name of the partnership
  • 2-Street address of principle office
  • 3-Street address of one office in Idaho
  • 4-Names and mailing addresses of all partners or name of agent with list of all partners
  • 5-The names of the partners authorized to execute an instrument transferring real property held by the partnership
  • 6-The signature of two or more partners

Tips

EIN– The Employer Identification Number is necessary for all partnerships in the country and must be obtained as soon as acceptance of registration has been received. This number is used by Internal Revenue Service to identify businesses for tax reporting purposes. They can be registered for free by navigating to the IRS website or through the mail with the PDF Form SS-4. Partnership Agreement– This document is not legally required in Idaho, though it is vital to the organization of your partnership as it states the relationship between the partners and the partnership itself. All provisions pertaining to the government of employees and the designation of responsibility among the managing partners will be located exclusively within the partnership agreement. Renewal– Businesses will receive a postcard in the mail to notify the managing members that their annual report is due. This filing can be done for free by signing in online and entering the information onto the Secretary of State website (link in heading). The Entity filing number and PIN will be supplied on the postcard as well as the due date. Those who fail to file the annual report in the given time will be classified as dissolved or forfeited and will need to apply for reinstatement.
