This webpage has been created to provide insight into the registration procedure for domestic LLCs in Iowa. Forming a standard or professional LLC  is a simple matter, although you will be expected to generate your own filing form. Once the form has been drafted to the government specifications, you have the option to either submit it online or through the mail, the fee being $50 regardless of filing method or LLC type. Before filing, ensure that your desired operating name is available by cross-referencing the business database. Once selected, you may reserve the name by filing a name reservation which locks the name down for a period of 120 days ($10).

How to File a Standard or Professional LLC

Step 1- As mentioned above, you must generate your own filing form pursuant to the form-drafting guideline (489.201) made available by the Secretary of State. To do so, download the guidelines and write up your form, making sure to include the following information:

  • Name of LLC
  • Registered agent name and address

ia-llc-form-1Step 2- Individuals filings through the mail should skip to Step 4. To file online, navigate to the form filing portal. Once there, indicate which filing type is being made and your preferred method of payment. Finally, submit the following data into the provided fields:

  • Filing party
  • Address
  • Phone number
  • Email address


Individuals paying by credit card will have to enter the following data:

  • Company
  • Full name
  • Address
  • Card type
  • Expiration date
  • Card number


Individuals paying via a pre-existing account with the Secretary of State must input their account number, PIN, and invoice reference to complete the payment.


Step 3– You must now upload the aforementioned form and, after completing the CAPTCHA, select SEND to complete the filing process.


Step 4- Filers submitting their application by mail will need to attach a check for $50 made out to the Secretary of State or the credit card authorization form to their filing and send it to the following address:

EIN– New domestic LLCs may need to file for an EIN, or Employer Identification Number, Online or through the mail (Form SS-4) before attempting to take any financial actions as an entity. The IRS issues EINs to entities to make them taxable, and thus financially viable. You must acquire an EIN in order to pay employees, apply for credit cards, and the like. Operating Agreement– While operating agreements are not legally required for filing in the state of Iowa we highly recommend you draft one for your new LLC for organizational purposes. An operating agreement will essentially lay down the rules and regulations your LLC plans to operate by and thus without one your entity may be dysfunctional. Furthermore, it will be difficult for banks, the government, and competitors to see your entity as truly legitimate if you lack an operating agreement. Renewal– To keep your new LLC in good standing you must file a biennial renewal either online ($30) or through the mail ($45) with the Secretary of State. Mail filers will have to draft their own biennial renewal by following the guidelines laid out in the 488.210 PDF form. Once completed, you will need to send the form along with a check made out to the Secretary of State or a completed credit card authorization form to the following address:
