When you are ready to submit your application to the Secretary of State, you will be able to do so online as well as through the mail. This process will require filers to supply a filing fee of $50 when registering a domestic LLC, and $100 when filing a foreign LLC.

How to File

Step 1- Before beginning your filing it is of the utmost important that you select a name that is both legally adequate and available. To do so you can first read through the name requirements for LLCs and then, once you’ve landed on a legally acceptable name, you can cross-check the business database to see if anyone has taken this name. Once your name is solidified you may reserve it for a period of 120 days ($10) to give you time to get your filings in order.

Step 2- To begin the actual filing process you will need to supply your filing information into the PDF application, or alternatively, draft your own document that meets state guidelines (if required). Step 3- You must now attach a certificate of good standing (foreign LLCs) and supply the filing fee. To pay for the filing you may, if you are filing online, use a credit card. Otherwise, attach a check made out to the Secretary of State or a completed credit card authorization form to your application and send it to the following address:

Tips

EIN– New domestic LLCs may need to file for an EIN, or Employer Identification Number, Online or through the mail (Form SS-4) before attempting to take any financial actions as an entity. EINs are issued by the IRS to identify entities as taxable and legitimate in the eyes of the federal government. Therefore, your entity will be unable to pay employees, take out loans, or the like until you’ve been assigned your proper EIN. Operating Agreement– Iowa does not, like some states, require the drafting of an operating agreement by a LLC as part of the initial filing process. An operating agreement is an internal document delineating the rules and regulations of a given LLC, and thus, it is invaluable to the effective running of a business and necessary to retain an air of legitimacy. Renewal– All LLCs, foreign or domestic, must file a biennial renewal once every other year with the Secretary of State in order to remain in good standing. Filing can be completed online ($30) or through the mail ($45). Mail filers will have to draft their own biennial renewal by following the guidelines laid out in the 488.210 PDF form. Again, mail filers will be required to attach a check made out to the Secretary of State for the aforementioned filing fee and send it to the below address.
