The Business Registration Division of Hawaii’s government website has provided an extremely quick and easy-to-use platform for online filers to register their partnership. For those who aren’t as technologically inclined, paper filing has been made available through the downloading of the appropriate documents in PDF format. Both of these filing options are accessible for all partnership types and a tutorial has been provided for each. A fee will accompany each filing (list found below) and must be made payable to the Department of Commerce and Consumer Affairs. Online filers will be able to use their credit card information or e-subscription to the website to pay for their registration.

We recommend that filers perform a Business Entity Search prior to registration to ensure that their operating name isn’t already in use by another company in Hawaii. You may also secure the rights to your name by filing a Name Reservation which will prevent other businesses from being able to register under your chosen name for a period of 120 days.

How to File a GP (Online)

Step 1- The first step is to navigate to this webpage and sign in with your online account. If you have yet to create an account, review our tutorial on this process. Once there you will be able to begin the application process by selecting whether you qualify as a domestic or foreign partnership.

Step 2- Supply both the name of your partnership and the date of formation.

Step 3- Foreign GPs will need to supply the jurisdiction under which the partnership was formed and the date it commenced business in Hawaii.

Step 4- Next, provide the mailing address.

Step 5- The selection of the registered agent will included selecting the name and agent type as well as supplying the street and mailing address of the place of business of the individual or entity.

Step 6- Supply the name and full address of each general partner.

Step 7- Indicate whether you are signing as an individual or as someone representing an entity before printing and signing your name. Once you’ve ensured that all the information you’ve entered is accurate, click Review and Purchase to pay the appropriate filing fee and finish your registration.

How to File a LLP (Online)

It is important to note that a limited liability partnership can be defined as a general partnership which has elected to have limited liability among it’s partners. Therefore, all filings for qualification of LLPs will need to be preceded by a filing for a GP.

Step 1- Providing that you’ve already filed as a GP, you will be able to navigate to this webpage and log into your account (create an account here). You will then be presented with the correct forms. Foreign LLPs will need to choose FLLP-1 while domestic LLPs will choose LLP-1. On either application you will be able to enter the name of the GP and that of the LLP in the first few windows.

Step 2- Foreign LLPs will be required at this juncture to supply the jurisdiction of original formation.

Step 5- Select whether you are signing as a representative of an entity or as an individual then provide your printed name and signature. Clicking Review and Purchase will allow you to pay the filing fee via credit card and finish the online filing process.

How to File a Domestic LP/LLLP (Online)

Step 1- Online filers will be required to navigate here and sign in with their account (or create one for free).  Select the partnership type you’d like to file for. Note that LPs and LLLPs can be filed for using the same forms but filers will have to choose between the variations in the first step of the application (shown below).

How to File a GP (PDF)

Step 1- Start by downloading the PDF for the Registration Statement For Partnership.

Step 2- Next, you will need to provide the following information:

  • 1-General partnership type (foreign or domestic)
  • 2-Name of partnership
  • 3-When partnership was formed
  • 4-The jurisdiction under which the partnership was formed and the date business commenced in Hawaii (applicable to foreign GPs only)
  • 5-The mailing address of the principle office
  • 6- Registered agent name and address
  • 7-Name and complete address of each partner

How to File a LLP (PDF)

It is important to note that the act of filing as a LLP is in fact applying for qualification for a General Partnership to gain limited liability among it’s members. It will be necessary for those wishing to register as a LLP to file the Registration Statement for GPs alongside the PDF of the Statement of Qualification found below

Step 1- Filers will need to first download the PDF application associated with their business type. Domestic filers will need to download the Statement of Qualification while foreign filers must download the Statement of Foreign Qualification.

Step 2- Now that you have downloaded the application, you will need to provide the following information:

Tips

EIN– Newly formed partnerships will be required to apply for an Employer Identification following the completion of their registration. This identifier is used by Internal Revenue Service to recognize tax-withholding business entities. Without it, you will be unable to open bank accounts, apply for credit cards or otherwise perform any kind of financial transaction while using the company name. Renewal– In order to remain in good standing with the Department of Commerce and Consumer Affairs, partnerships will need to update the state database yearly with an annual report. This process can be accomplished online or using your mobile device and will cost either $5 or $15 depending on your partnership type. This report is necessary for business owners to keep their company active and allows for the state to be updated on any managerial changes which may have occurred over the course of the year.
