Foreign limited liability companies that would like to transact business in Hawaii will need to apply for a Certificate of Authority with the Department of Commerce and Consumer Affairs. Filing can be accomplished using the online filing system or by completing the PDF application below and sending it to the state by mail. Whether you choose the paper or electronic filing, you will need to pay a fee of $50. It will be essential to the acceptance of your application that a certificate of good standing be supplied from your jurisdiction of original formation. This document will need to have been issued within 60 days of your filing with Hawaii.

Before filing, it would be wise to perform a Business Entity Search to ensure that the name you’re currently operating under has not already been registered in the state of Hawaii. If you plan to file within the next four months and want to reserve the rights to your name, you may perform a Name Reservation for the price of $8.50.

How to File (Online)

Step 1- Begin the filing process by navigating to this website and logging into your online account (or create one for free). There you will be required to enter in the name of the LLC, its state or country of organization and the mailing address of its principal office.


Step 2- Provide the registered agent’s name, address and type into the given fields.


Step 3- Indicate the term of business for you LLC by either selecting At-will or choosing to enter the expiry date of the period of duration.


Step 4- Select option a if your company is to be manager-managed or option b if it’s to be member-managed. List the names and addresses of each manager.


Step 5- Select whether the members of the company shall be liable for the debts, obligations and liabilities of the company and submit any specification in the box provided (if necessary).


Step 6- Be sure to upload the certificate of good standing before supplying your name as an individual or entity. To finish the application, click on the Review and Purchase option to pay the filing fee of $50.
