Those seeking authorization from the Florida Department of State will have to do so through the PDF download of the application for the Certificate of Authority. Foreign LLC’s (pre-existing LLC’s from out of state) will be required to pay the same filing fee as domestic,  $100+$25 for the appointment of the registered agent. State statues regarding the formation and government of foreign LLC’s  can be found in Title XXXVI 605.0902, it would be wise to familiarize yourself with the various laws prior to registration. It will be required of any foreign entity, LLC or otherwise, that a certificate of existence/good standing/compliance from the state or region of origin accompany the application upon filing.

How to File

Step 1- A Business Inquiry should be performed to determine whether the name under which an LLC operates is already in use within the state of Florida. If this is the case, an alternate name must be selected to replace the original. All LLC’s must have a unique name which contains the words ” Limited Liability Company”, or the abbreviation “LLC”, “L.L.C”.

Step 2- If your company name is not in use, or you’ve decided upon an alternate, you may proceed to download the Application for the Certificate of Authority. You will need to provide the following information:

Cover Letter

  • Name of LLC
  • Name of person to receive correspondence regarding this filing
  • Firm or business
  • Full address
  • Contact information including email address and telephone number
  • Selection of Filing Fee

  • 1-Name of noreign LLC in state/region of formation or name to be used in Florida (if different from original)
  • 2-Jurisdiction under whose law the LLC is organized
  • 3-FEI Number (if applicable)
  • 4-Date LLC first transacted business within Florida
  • 5-Place of principle office
  • 6-Mailing address
  • 7-Name and street address of registered agent in Florida
  • 8-Name, title, address of all managers
  • 9-Attached certificate of existence, name of authorized filer and their signature


Step 3- Attach the certificate of existence/good standing to the application along with a check covering the filing fee indicated in the cover letter. This check will need to be made payable to the Florida Department of State. Mail all items to one of the below addresses to complete filing and await correspondence from the Division of Corporations.

Renewal In the State of Florida, to maintain “Active” Status, all entities must file an annual report electronically within the 1st of January and the 1st of May of each calendar year. The price of filing this renewal will amount to $138.75. Failure to renew in the given time period will result in a $400 fine which will be tacked onto the initial cost of filing.
