Welcome to the partnership registration guide for the state of Delaware. All filings must be committed, and all partnerships operated, in accordance with Title 5-30 of the Delaware State Code. Both domestic and foreign entities will be unable to submit the filing forms online as there is currently no e-registration option in the state of Delaware. The filing forms are available for download online in PDF format and simply need to be printed, completed, and mailed to the appropriate location for processing. For all partnership types, there is a $200 processing fee as well as a $50 fee to obtain a certified copy (optional).

For all partnership types you are going to need to first make certain that the name you intend to use for your partnership is available for use. To can verify that this is the case, we suggest that you perform a  search of the Businesses Database. Once you have found an available and suitable name for your partnership, you may reserve it with the Division of Corporations. Reserving an entity name is not a difficult process and simply requires that you complete a Name Reservation Form and pay the associate filing fee of $75.

How to File a Domestic Limited Partnership (LP)

Step 1 – You will begin by  downloading and printing the appropriate PDF documents. The required documents for forming an LP are available below.

Step 3 – Once you’ve completed the requisite forms, attach to them a certificate of good standing from your jurisdiction of initial formation. Next, prepare the filing fee by providing your credit card details in the cover sheet or by making a check out to the Delaware Secretary of State. Tips

(EIN) Employer Identification Number – The Internal Revenue Service (IRS) issues an Employer Identification Number to each tax withholding entity primarily for the purposes of identification, naturally.  Without an EIN an entity cannot pay employees or open bank accounts. You can obtain an EIN if you complete the PDF Document Form SS-4 or if you visit the IRS Website and do so electronically.

Partnership Agreement – Drafting a partnership agreement is an optional step when you form a partnership though it is highly recommended that you do. Essentially what a partnership agreement is, is a detailed agreement on what the expectations, responsibilities, and roles of each of the partners within a partnership are. Adopting one allows for clarity within the partnership; a quality that often contributes to longevity and success in business relationships. Renewal– While partnerships are not required to file an annual report in order to stay in good standing with the state authorities, limited partnerships and general partnerships will still be expected to submit a franchise tax. This payment should be submitted by the 1st of June of each calendar year and will total $300.
