No matter which entity type you wish to form in the state of Delaware or whether you have already formed your entity elsewhere and are simply looking for the authority to operate within state boundaries, you will have the opportunity to reserve an entity name. Doing so can be accomplished by going to the state of Delaware official webpage’s online portal and completing the online name reservation process or by downloading the PDF forms, completing them manually and then mailing them to the Division of Corporations office. There will be an associated filing fee of $75 and you must ensure that all actions of forming an entity adhere with Title 5-30 of the Delaware State Code.

How to Reserve (Online)

Step 1 – You will first need to navigate to This Webpage. This is the state of Delaware official webpage and will allow you to conduct a number of different services associated with maintaining your entity online.

Step 2 – Read the associated disclaimer and click the box to designate that you read and understand said disclaimer. You must then select your Entity Kind and your Entity Name. Once all of this information has been entered click the Search button to verify that the chosen name is available for reservation.

Step 3 – If your search was successful and the name you have selected is available for reservation you will be redirected to a landing page that looks similar to the one pictured below. You must then select the entity name you desire from the available names and click the Payment link to proceed.

Step 4 – In order to complete the payment of the $75 filing fee and thus complete the name reservation process you must login to your Delaware state online account. Once logged-in you will be able to complete the reservation process and proceed with the formation of your entity.

Step 1 – To begin the reservation process manually, you will need to download the following documents (cover page as well as your associated entity type):

Step 2 – The first page for all entity types will be the cover letter. There will also be a one to two page form that is required to be filled-out and is particular to your entity type. Step 3 – Complete a check for a total of $75 and address it to the Delaware Secretary of State. This will cover the filing fee for your name reservation application and must be included with the other required documents when submitting by mail. As directed by the Delaware Secretary of State, do not staple any of the documents together.

Step 4 – Ensure that there are no mistakes in your completed and documents. Mail all items to the below address. You should expect your application to be processed within five business days, so depending on how far away you are mailing your application from, you will expect to wait at least a week for the application to be processed.
