According to Title 8 of the Delaware Code all corporations under operation in the state of Delaware shall adopt a corporate bylaw during formation. This document is essentially a written agreement between the managing members of the entity that will dictate the manner in which the business is to be organized. No other document will effectively relay the terms and conditions of the corporation while detailing the rights and responsibilities of each corporate official. It is important that when adopting a corporate bylaw, the agreement is legally validated and copies are made for all wanting parties.
