An operating agreement is used to detail the management of the company’s affairs that aren’t already stated in the Articles of Organization as shown in Chapter 613, Sec. 34-140 of the General Statues of Connecticut. This document will include provisions such as the designation of the entity’s officers, the frequency of meetings held by managing members, the information pertaining to the registered agent and the like. It is not legally required in Connecticut that this document be drafted, however,  it comes highly recommend as it will be the only legally valid document explaining the manner in which the entity is to organized internally.
