If you run a limited liability company outside of Connecticut and you’d like to do business within this state, you will need to file the Application for Registration under Chapter 613-Sec. 34-223. Our step by step guide below will provide you with said document and has given a description of what information the Secretary of State will demand of you. As there is no online filing portal for businesses registering in Connecticut, the document must be download as a PDF form, completed, and submitted with the filing fee of $120. Be prepared with a certificate of good standing or like document as well to prove your legitimacy in your state of initial formation.

How to File

Step 1- It is required by state law that foreign LLC’s, in compliance with Sec. 34-227, file with a name not already registered in Connecticut. To confirm it’s originality, you can utilize the Business Inquiry function on the government website. If you need additional time to prepare for registration, you may also wish to perform a Name Reservation.

Step 2- Download the Application for Registration and fill it out as follows:

  • Under filing party,  provide the address in which confirmation should be sent
  • 1-Name of LLC in state or country of formation
  • 2-Name LLC will use in Connecticut (if different from line 1)
  • 3-State/country of formation
  • 4-Date formed
  • 5-Date LLC began transacting business in state
  • 6-Principal address of LLC in state/country of formation
  • 7-Describe the type of business to be transacted in Connecticut

  • 8-The appointment of the registered agent (this can either be the Secretary of State or any individual who is a resident of Connecticut). Supply the business or resident address of the individual if applicable as well as their signature authorizing their appointment.

  • 11- The date as well as the name, title and signature of signatory

Step 3- Once the form has been completed, attach a check made out to the Secretary of State for the amount of $120. You will also need to get a copy of your certificate of good standing and mail all three items to the below address.

Renewal– All entities in the state of Connecticut are required to renew each year by submitting an annual report to the Secretary of State. This document will update the state authorities on all major structural changes which have occurred over the course of each year. After you’ve received correspondence from the Secretary of State that your filing forms have been accepted, you will have thirty days to file your first report. After this, you will be required to file each year on the anniversary of your registration.
