Forming a partnership can be done in Arizona by filing through the Arizona Secretary of State office. In Arizona, you are able to form a limited partnership (LP), a limited liability partnership (LLP), and a limited liability limited partnership (LLLP). In order to form a partnership all you have to do is complete the applicable forms available from the Arizona Secretary of State and submit them to the correct location. The forming of a partnership and the completion of the forms to do so must all be in accordance with ARS Title 29.

Before proceeding onwards, it is necessary to Search the Business Database to ensure that the name you have selected for your partnership is not currently in use. Filers may also reserve a business name for 120 days by filing a Name Reservation application ($10).

How to File a Limited Partnership

Tips

EIN– All partnerships will be required to obtain an Employer Identification Number as soon as acceptance of formation has been received. An EIN will allow a partnership to open bank accounts, apply for credit cards, and pay employees. To attain one all you have to do is complete the PDF document Form SS-4 or visit the IRS Website. Partnership Agreement– While this is not a required agreement for legal purposes, it is a highly recommended action to take when forming a partnership. By establishing a partnership agreement, definition is given to which portions of the partnership are owned by who and what the rules and regulations of the partnership are. We have provided an agreement template, available in MS Word and Adobe PDF, which can be found within the link at the heading of this paragraph.

Renewal– All LLPs and LLLPs will be required to submit an annual report to the office of the Secretary of State in order to remain in good standing. This report will effectively update the state with any changes to the business that may have occurred over the previous year. To file, you will have to download a PDF application and forward it to the Secretary of State (address below) with a check or money order attached to cover the filing fee. Filing fees in Arizona are $3 if received before April 30, $28 if received on or after May 1.
