To form a domestic LLC in Arizona one must complete the Articles of Organization (form L010) either online or manually by printing the PDF document. The filing fee for this section of the formation process is $50 (with an optional $35 expedite fee).  What you first need to do in order to form a domestic LLC in Arizona is to ensure that the name you have selected is not currently being used and/or too similar to an entity already registered with the Arizona Corporation Commission. How to File (Online)

Step 4- Fill in the street address for the statutory agent by providing the following information:

  • Street address
  • City
  • State
  • Zip
  • Country

Step 5- Select the appropriate “Entity Type”.

Step 10- You now have the option of reviewing all the information you have entered to ensure that there are no errors. Click Next to proceed.

Step 11- Select your return delivery option and click Pay to pay for the filing fee ($50 or $85 using the expedited method). Once payment has been verified you will have completed the Articles of Organization form and will now simply need to wait to see if your LLC has been approved for formation.

  • Decide whether the statutory agent is a person or an entity

Step 5- The last form you need to fill out is the structure agreement/attachment. Depending on the makeup of the entity you wish to form, you will choose either the “Member Structure Attachment” or “Manager Structure Attachment”. For the “Member Structure Attachment” the required information is as follows:

  • Entity name
  • A.C.C. file number (if known)
  • Name and address of all members

  • Give the name and address of every manager who owns more than 20% of the profit or capital of the LLC

Step 6- Lastly, have a $50 check or money order made out to the Arizona Corporation Commission and attach it to your completed forms. Send all documents to the below address for processing.

Tips

EIN– Many business representatives will be required to obtain an Employer Identification Number once they have completed their filing with the Arizona Corporation Commission. An EIN is a document that can be obtained by going to the IRS website or by completing a PDF application (Form SS-4). Having an EIN allows for the LLC to be financially active. The activity that is allowed with the LLC consists of opening bank accounts, hiring employees, getting credit cards, and participating in almost any type of monetary transaction. Operating Agreement– The state of Arizona does not require LLCs to have an operating agreement however it is highly recommended that newly formed LLCs create one and have it legally certified.
