To form a partnership in Arkansas, in compliance with Title 4, Chapter 46  as well as Title 4, Chapter 47 of the 2010 Arkansas Code, one must file either a Certificate of Limited Partnership (domestic LP, LLLP), Application for Qualification (domestic LLP, foreign LLP), or a Certificate of Authority (foreign LP, LLP). The filing fees of these will range from $50 if domestic to $300 if filed as an out-of-state entity.

In all cases, whether foreign or domestic, the business name must be completely unique to the partnership. A search of the name database on the Secretary of State website can be performed using the Business Entity Search. Through this process you will be able to verify the availability of your desired business name.

How to File a Limited Partnership

Step 1- Filers must first download the PDF application that is associated with their business type. Below, we have provided forms for both domestic and foreign limited partnerships.

Step 3- You must now complete the annual report contact sheet (page 2 of the application). This document will require you to supply the mailing address, address and name of the contact person to receive the annual report form as well as any other information regarding the filing.

Step 4- Attach to your completed documents the filing fee ($50 domestic, $300 foreign) in the form of a check made payable to the Arkansas Secretary of State. Foreign entities will also be required to supply a certificate of good standing from the initial jurisdiction of formation. Gather all articles and forward them to the address below.

Tips

EIN– The Employer Identification Number is required to perform any financial transaction as a partnership. It is used by the IRS for tax purposes in a similar fashion as a Social Security Number. Those who have recently filed with the Secretary of State should look to obtain an EIN either Online or through Form SS-4. The filing process may seem complicated to some and for this reason we have supplied a tutorial on the application procedures within the link at the heading of this paragraph.

Partnership Agreement– This form must be agreed upon and signed by all partners after filing with the Secretary of State. The partnership agreement’s purpose is to outline in detail the operations of a partnership including the scheduling of annual meetings, the initial capital contribution of all parties involved and the names of all managing members. Renewal– All partnerships in Arkansas will be required to supply an annual report to the Secretary of State in order to remain in good standing.
