In the state of Arkansas, incorporation can be achieved through either the paper or online filing of the Articles of Incorporation. Those wishing to file online can do so on the Secretary of State website and will be required to pay the filing fee by credit card. When filing through the mail, a check made out to the Arkansas Secretary of State must be attached to your completed application. The filing fees range from $45 to $300 depending on the method of application and type of entity being registered.

We recommend that all filers perform a Business Entity Search prior to registration to check the availability of their desired operating name. It is also possible to reserve a name for 120 days by filing a Name Reservation application either online or through the mail ($25).

How to File a Profit Corporation (Online)

Step 1- Begin by navigating to this webpage to be presented with the necessary forms. Select the Articles of Incorporation – DN-01 link to proceed.

Step 2- Provide both the Filing Act as well as the Corporation Name into the first two fields.

Step 3- Designate the maximum amount of stock to be issued by indicating the total number of shares and the par value of each share. You can set different classifications for the authorized stock by providing the class type, the number of shares of each class type, the series (if applicable), and the par value of shares for that particular classification.

Step 4- Provide the full name of the individual or business representing the registered agent as well as their address. Also the name and address of at least one incorporator must be provided.

How to File a Non-Profit Corporation (Online)

Step 1- Follow this link and choose which form applies to your situation. If you don’t intend on filing for a tax exemption with the IRS, the basic form of the Articles of Incorporation would be appropriate for you. However, if you plan on filing as a 501(c)(3) Charitable Organization, choose the form that indicates so which has provided sample provisions using IRS suggested language.

Step 2- Ensure the Filing Act is correct then provide the Corporation Name and specify whether it is a mutual-benefit corporation, public-benefit corporation or a religious corporation. You must also indicate whether or not the company will have members.

If you plan on qualifying for a federal tax exemption, you will be required to provide a paragraph using IRS suggest language indicating the power of the corporation, purpose of the corporation, and the distribution of assets upon dissolution. Sample’s have been given as an option but they are not mandatory.

Those who aren’t planning on seeking exemption will only be required to provide information on the distribution of assets upon dissolution. The wording of this paragraph needn’t cater to the IRS’s language preferences.

Step 3- Enter in the full name and address of both the registered agent and at least one incorporator (under the heading “Officers”).

Step 1- To start, download the PDF of the Articles of Incorporation.

Step 2- Once downloaded, enter the following information:

  • Line 2- Is this a benefit corporation (y/n)

Tips

EIN– All corporations will need to apply for an Employer Identification Number following the completion of filing with the Secretary of State. This is a number designated by the Internal Revenue Service that enables your corporation to hire employees, open bank accounts, file taxes and perform any other financial transaction. The link at the heading of this paragraph contains a tutorial on the application procedure. You may also apply directly Online or through the mail with the PDF Form SS-4.

Corporate Bylaws– It is advisable to fill out this form upon incorporation to designate the duties of the officers involved in the company. It will also highlight each members capital contributions and liabilities as well as underline any other rules or responsibilities regarding the management of the corporation. This document will not be filed with the Secretary of State, rather, it should be distributed to each of the managing members of the entity. A free template can be found within the link at the heading of this paragraph, available for download in both MS Word and PDF formats.

Renewal– In Arkansas, all non-profit entities will be required to file an annual report with the Secretary of State. Through this process you will effectively update the state with any changes to your corporation as well as maintain a good business status.
