To incorporate a foreign (out-of-state) corporation in the state of Alabama under Section 10A-1-7.04 the applicant will be required to first obtain a Name Reservation Certificate for a fee of $28. Afterwards the Application for Registration will be required to be sent to the Secretary of State through the mail or by fax along with a filing fee of $150 (for an additional $100 it can be expedited and processed within three (3) days). Attached to the application should be a copy of the Articles of Incorporation from the initial jurisdiction with a self-addressed stamped envelope.

Before filing, perform a preliminary search of the Secretary of State name database to see if your desired business name is available for use in Alabama. You will then be required to reserve the name before being able to file for registration.

How to File a Profit or Non-Profit Corporation

Step 1- You must first reserve your business name for a fee of $28 and obtain a certificate indicating acceptance of reservation. The certificate will be available for download in Adobe PDF and you will need to use the number on the bottom left portion of the page (under the Seal).

Step 2– Now that you are able to begin the incorporating process, continue by downloading the Application for Registration.

Step 3- With the application downloaded, proceed by supplying the following information:

  • Whether the entity is a for-profit or non-profit corporation
  • 1-Enter the legal name of the corporation in the jurisdiction where it was formed
  • 2-Enter the name of the entity (it must end with “corporation” or “incorporated” or an abbreviation of one of the words under Statute 10A-1-7.07)
  • 4-Entity’s jurisdiction of formation
  • 5-Date of entity’s formation in original jurisdiction
  • 7-Date entity will begin transacting business in Alabama
  • 8-Street address of principal office
  • 9-Registered agent name
  • 10-Registered agent address
  • Date, typed name, business title and signature

Step 4- Make sure to attach a copy of the Articles of Incorporation from your initial jurisdiction to the Application for Registration in addition to the Name Reservation Certificate (see Sample). Make a check or money order payable to the Secretary of State in the amount of $150 (or fill-in the credit card details on the last page) to pay for the filing fee. Lastly, attach two (2) copies of the completed application and forward it to the Secretary of State by fax (1 (334) 240-3138) or mail the documents to the below address. If you would like to have the documents processed within three (3) business days add an extra $100 to the payment.

Tips

Renewal– In order to remain in good standing with the Secretary of State, corporate business filers will be required to submit an annual report between January 1 and March 15 following the calendar year of incorporation in Alabama. A letter must be sent to the office of the Secretary of State (address located below) that contains the information specified in Section 10A-2-16.22. The filing fee for this report is $10.
